Bold Rays

[Last updated: PLACEHOLDER]

These Terms of Service (“Terms”) govern the provision of web development services by Bold Rays (“we”, “us”, “our”), a web development agency based in Pakistan. By engaging our services, you (“the Client”) agree to these Terms.

Services Overview

Bold Rays provides professional WordPress website development services, including but not limited to: website design and development, website redesigns, SEO-friendly development, speed optimisation, maintenance, and related digital services. The specific services, deliverables, and scope for each project are defined in the project proposal or quote agreed upon before work begins.

Project Process and Timelines

  1. Discovery: We discuss your goals, requirements, and content needs.
  2. Proposal: You receive a written quote outlining scope, deliverables, timeline, and cost.
  3. Design & development: We build your website according to the agreed scope, keeping you updated along the way.
  4. Review & revisions: You review the work and request revisions as covered by these Terms.
  5. Launch: After final approval and payment, your website goes live.

Timelines provided in the proposal are good-faith estimates. Delays caused by late client feedback, content, or access will extend the timeline accordingly, and we will keep you informed of any changes.

Quotes and Payments

  • Quotes: All quotes are provided in writing and are valid for 30 days unless stated otherwise. Any work outside the agreed scope will be quoted separately before we begin it.
  • Deposits: A deposit (typically 50% of the project total, or as stated in your quote) is required before work begins. The deposit is non-refundable once work has started.
  • Milestones: Larger projects may be billed in milestones tied to project stages, as set out in the proposal.
  • Final payment: The remaining balance is due before the website is launched or transferred. Ownership of all deliverables transfers to you upon receipt of final payment.
  • Late payments: Invoices are due within 7 days unless otherwise agreed. We reserve the right to pause work on overdue accounts and to charge reasonable late fees as notified in advance.
  • Currency & methods: Payment currency and accepted methods will be stated in your quote.

Revisions Policy

Each project includes a reasonable number of revision rounds as specified in your proposal (typically two rounds per design stage). Revisions cover adjustments to design, layout, and content within the agreed scope.

The following are not covered as revisions and will be quoted separately:

  • New pages, features, or functionality not in the original scope
  • Complete redesigns after approval of a design stage
  • Changes requested after final sign-off and launch

We’ll always tell you before any additional charges apply.

Client Responsibilities

To keep your project moving smoothly, you agree to:

  • Provide content: Supply all text, images, logos, and other content in a timely manner, in usable formats. You confirm you own or have the rights to all materials you provide.
  • Give feedback: Respond to review requests and approval checkpoints within a reasonable timeframe (we suggest within 5 business days).
  • Provide access: Supply logins and access needed for hosting, domain, or third-party services promptly when requested.
  • Appoint a decision-maker: Designate one point of contact with authority to approve work, to avoid conflicting feedback and delays.

Delays in providing content, feedback, or access may extend the project timeline and, in cases of prolonged delay (30+ days of inactivity), we may close the project and re-quote the remaining work.

Intellectual Property

  • Upon receipt of final payment, full ownership of the website design, custom code, and content created by us for your project transfers to you.
  • We retain the right to use the completed project in our portfolio, case studies, and marketing materials, unless you request otherwise in writing before launch.
  • Third-party assets (such as premium themes, plugins, stock images, or fonts) remain subject to their own licences, which we will identify to you. Licence fees for such assets are the Client’s responsibility unless included in the quote.

Warranties and Disclaimers

  • We warrant that our work will be performed professionally and in line with the agreed scope.
  • We do not guarantee specific business outcomes such as search engine rankings, traffic levels, or sales — these depend on many factors beyond our control.
  • Websites are delivered tested and working on current browsers and devices at the time of launch. We cannot guarantee compatibility with future browser, plugin, or platform updates unless covered by an ongoing maintenance plan.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the total fees paid by you for the project in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data. Nothing in these Terms limits liability that cannot legally be limited.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project — including business data, credentials, and unpublished plans — and not to disclose it to third parties without written consent, except where required by law.

Termination

  • Either party may terminate a project with written notice.
  • If you terminate after work has begun, the deposit is non-refundable, and you will be invoiced for all work completed to date (calculated proportionally against the quote).
  • If we terminate, we will deliver all work completed to date upon payment for that work.
  • Sections on intellectual property, confidentiality, and limitation of liability survive termination.

Governing Law

These Terms are governed by the laws of Pakistan. Any disputes will first be addressed through good-faith negotiation; if unresolved, they will be subject to the jurisdiction of the courts of Pakistan.

Note: These Terms are a template. The agency owner should have them reviewed by a qualified legal professional before use.
